Makkal › Terms of service

Terms of service

In English for now. The other languages follow once a solicitor has read the text.

These terms are between Makkal Limited, 96 Fanan, Letteragh Road, Rahoon, Galway H91 R7WE, Ireland, registered in Ireland, company number 777742 ("Makkal", "we") and the organization that signs up for or orders a Makkal app ("the Customer", "you"). They apply to GageMakkal, MainteMakkal and any other app of the Makkal platform ("the Service"). By creating an organization, signing an order or using the Service, the Customer accepts them.

1. The Service

1.1 We provide the Service over the internet, as described on our website and in your order, and may improve and change it. We will not remove a main feature you pay for during a paid period without telling you at least 60 days ahead.

1.2 Trials. A new organization gets every feature of the apps it starts with, free, for 30 days, provided as it is. After that it continues on the Free plan unless it subscribes. Nothing is deleted when a trial ends.

1.3 Plans. Each app is offered on these plans, as described on our pricing page or in your order: Free (up to 200 pieces of equipment per app, one site, without AI reading of certificates), Team, Plant and Enterprise. Plans are limited by the number of pieces of equipment and sites, not by the number of people: everyone in your organization may use the apps their role allows. Above a plan's limit, the extra pieces can still be read and exported but not changed until you move to a larger plan.

1.4 Enterprise. An Enterprise order may include your own separate installation of the Service, in a region you choose, kept apart from every other customer, and a web API; the order says what it includes.

1.5 Support. By email at support@makkal.app, on working days in Ireland. We aim to answer within one working day.

2. Your organization and your people

2.1 You decide who has access and with which role. You are responsible for what your people do in the Service and for keeping sign-in details safe. Tell us promptly if you believe an account is misused.

2.2 You may not: use the Service against the law; try to reach another organization's data or break the Service's security; overload it on purpose; resell it, or copy it to build a competing product.

3. Your data

3.1 Your data is yours. Everything you and your people put in (equipment, records, certificates, files) belongs to you. You give us the right to host, copy and process it only to provide and support the Service, as set out in our data processing agreement (sent on request: write to privacy@makkal.app), which forms part of these terms.

3.2 Export. You can export your equipment, records and files at any time, and for 30 days after the end of your subscription.

3.3 Reading certificates with AI (when your organization switches it on) suggests values from a certificate for a person to check. Suggestions can be wrong; a record only counts once a person has saved it.

4. What the Service does not do for you

The Service helps you keep track of measuring equipment and its calibration. You remain responsible for your calibration programme, for deciding whether equipment is fit for use, for the results you record, and for meeting your quality standards (ISO 9001, IATF 16949, ISO/IEC 17025 or others). Statuses, due dates and reminders are worked out from the dates and settings you give; check them as you would any record.

5. Fees

5.1 Fees, the period and what they include are as in your order or invoice. Unless it says otherwise, fees are billed yearly in advance, are due within 30 days, and do not include VAT.

5.2 We may change fees for a new period, telling you at least 60 days before it starts.

5.3 If an invoice is more than 30 days late, we may, after a written reminder, limit the Service to reading and exporting until it is paid.

6. Availability

We aim to keep the Service available at all times and to do maintenance outside working hours in Ireland, announced where it takes the Service down for more than a few minutes. We do not promise uninterrupted availability unless your order includes a service level.

7. Confidentiality

Each side keeps the other's confidential information confidential and uses it only for these terms. Your data is confidential information. This does not cover what is public through no fault of the receiving side, or what the law requires to be disclosed.

8. Naming you as a customer

8.1 We may name your organization as a customer of Makkal, and show its name and logo, on our websites and in our sales material. You can ask us to stop at any time by email; we will do so within 30 days.

8.2 Anything more (a case study, a quote from one of your people, a video) is used only with your approval each time, given in writing (an email is enough).

9. Our software

The Service, its software and its design belong to Makkal. You get the right to use it for your organization during your subscription. Ideas and feedback you send us we may use freely to improve the Service, without naming you.

10. Liability

10.1 Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else the law does not allow to be limited.

10.2 Neither side is liable for loss of profit, revenue, business or goodwill, or for indirect or consequential loss.

10.3 Otherwise, each side's total liability under these terms in any 12 months is limited to the fees paid or payable by the Customer for the Service in those 12 months. While nothing is paid (a free trial or the Free plan) the Service is provided as it is, and Makkal is not liable, as far as the law allows.

10.4 Section 4 applies: we are not liable for decisions about equipment or products made on the basis of the records in the Service.

11. Term and ending

11.1 A subscription runs for the period in the order and renews for the same period unless either side gives notice at least 30 days before the end.

11.2 Either side may end it at once by written notice if the other materially breaks these terms and does not put it right within 30 days of being told, or becomes insolvent.

11.3 At the end: you can export your data for 30 days; then we delete it as set out in the Data processing agreement. Fees paid in advance are refunded pro rata only when we end the subscription for a reason that is not your breach.

12. Changes to these terms

We may update these terms; changes that reduce your rights take effect at your next renewal, and we will tell you at least 30 days ahead. The version in force is on our website with its date.

13. General

13.1 These terms, your order and the Data processing agreement are the whole agreement; if they disagree, the order wins, then the Data processing agreement on data protection, then these terms.

13.2 Neither side is liable for delay caused by events outside its reasonable control.

13.3 Notices by email to the addresses in the order (ours: legal@makkal.app).

13.4 Law and courts: Ireland. These terms are governed by Irish law; the courts of Ireland have exclusive jurisdiction.
